Terms of Service.

Every Basalith requires a one-time Founding fee, due at the commencement of your Basalith: currently $2,500 for an individual or family Basalith and $5,000 for a business succession Basalith. The Founding fee covers the initial architecture of your Basalith, legal framework configuration, and The Founding as described in the service documentation current at the time of your Founding. It is non-refundable once The Founding process has commenced. Business acquisition engagements are priced per transaction, starting at $50,000, and are invoiced separately under a written engagement rather than under the subscription terms below.

Following The Founding, your Basalith is maintained on a subscription basis at the rate applicable to your chosen plan. Individual and family plans: Active ($3,600 per year, or $360 per month), Resting ($600 per year, or $60 per month), and Legacy ($1,200 per year, billed annually). Business succession: $12,000 per year, with post-transition successor access at $3,600 per year. Monthly plans carry a 12-month minimum commitment. Prices are denominated in US dollars and are exclusive of any taxes, duties, or levies that may apply in your jurisdiction.

Annual subscriptions are billed on the anniversary of your Founding date. Monthly subscriptions are billed monthly from that date. Payment is processed by Stripe. Your Family Trust, estate entity, or personal account may be designated as the billing party at any time.

Invoices are issued 14 days before each renewal date. If payment is not received, your Basalith moves to Resting status. Your content is preserved in full during Resting, and your entity remains intact. Active features are suspended until payment resumes. We do not delete a Basalith for non-payment. Permanent deletion occurs only through the deliberate process described in the Cancellation section below.

To the maximum extent permitted by applicable law, Heritage Nexus Inc. shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to your use of the Basalith service, including but not limited to loss of data, loss of business, or loss of anticipated savings, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the service shall not exceed the total fees paid by you to Heritage Nexus Inc. in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.

Basalith is a data preservation service. We make no representation that the entity, or any output of the cognitive reference model built from your record, constitutes a legally recognized representation of any person for the purposes of any legal proceeding, estate administration, or contractual obligation.

Upon your death your Basalith transfers to your designated heirs or estate. Your Basalith is treated as a private digital asset for the purposes of estate administration.

Heritage Nexus Inc. will work with your estate to facilitate transfer of your Basalith, continued access under the Legacy tier, or data export and dissolution as directed by your estate.

Heritage Nexus Inc. does not acquire any rights to the data in your Basalith upon your death. We are the custodian. Your heirs are the beneficiaries.

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Basalith service shall be subject to the exclusive jurisdiction of the courts of the State of Delaware and the federal courts located therein, and you consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms constitute the entire agreement between you and Heritage Nexus Inc. in respect of the Basalith service, and supersede all prior agreements, representations, and understandings.
